1. Provider and scope
- MDM Lite is provided by Data Prudentia GmbH, Drötscher Straße 24, 56727 Mayen, Germany, registered with the commercial register of the Local Court (Amtsgericht) of Koblenz under number 31268, represented by its managing director Wolfgang Hesse ("Data Prudentia").
- These terms of use govern the use of the software-as-a-service offering "MDM Lite" (including the web interface, REST API and MCP interface) by businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law ("Customer"). MDM Lite is not offered to consumers.
- Deviating or supplementary terms of the Customer apply only if Data Prudentia expressly agrees to them in writing. Individual agreements, such as an offer, a framework agreement or an individual contract, take precedence over these terms.
2. Subject matter and scope of services
- MDM Lite is an application for centrally maintaining reference and configuration data. Its
scope includes in particular:
- flat tables and hierarchies of any depth with a dynamically definable schema,
- temporal validity of entries and queries as of a given date,
- versioning and an immutable audit trail,
- import from CSV and Excel files, and export as JSON and CSV,
- a versioned REST API, API keys, and integrations such as Microsoft Fabric and Microsoft Purview,
- dataset-level roles (Admin, Editor, Viewer) and separate environments (test/production).
- The specific scope of services, in particular the plans booked, quantity limits and additional services, is set out in the relevant offer or contract. The current description of features is available in the user guide (German).
- Data Prudentia provides MDM Lite as a cloud service over the internet. Providing the software for installation at the Customer's premises is not part of the contract.
- Data Prudentia may further develop MDM Lite and change features, provided the contractually agreed core scope is not materially restricted. Data Prudentia informs the Customer of material changes in good time before they take effect.
3. Conclusion, term and termination
- The contract is concluded when an offer from Data Prudentia is accepted or when an MDM Lite tenant is activated for the Customer.
- The term and notice periods are set out in the offer or contract. If there is no such provision, the contract runs for an indefinite period and either party may terminate it with three months' notice to the end of a calendar month.
- The right to terminate for good cause remains unaffected.
- Notices of termination must be given in text form (e.g. email).
4. Fees
- Fees are set out in the offer or contract. All prices are exclusive of statutory VAT.
- Unless agreed otherwise, fees are payable in advance for each billing period, within 14 days of invoicing, without deduction.
5. Access, sign-in and user accounts
- Users sign in through the Customer's Microsoft Entra ID directory (single sign-on via OpenID Connect). The Customer grants the required consent in its own directory. Data Prudentia provides the setup steps during onboarding.
- The Customer appoints at least one administrator, who invites further users and assigns roles. The Customer is responsible for ensuring that only authorized persons have access and that the access of departing persons is revoked.
- API keys must be treated like passwords, kept confidential and revoked without delay if misuse is suspected.
6. Customer obligations
- The Customer uses MDM Lite only in accordance with applicable law and these terms. In particular, the Customer does not upload content that infringes third-party rights or is unlawful.
- The Customer refrains from any action that impairs the operation or security of MDM Lite, such as load tests without prior agreement, circumventing access restrictions, or automated requests beyond the agreed limits (rate limits).
- The Customer is responsible for the accuracy of the data it maintains.
- The Customer reports disruptions and security incidents to support without delay (section 7).
7. Availability, maintenance and support
- Data Prudentia strives for high availability of MDM Lite. A specific availability applies only if it is expressly agreed in the offer or contract (SLA).
- Data Prudentia performs planned maintenance outside normal business hours where possible and announces it with reasonable notice.
- Support is available by email at admin@data-prudentia.de. Response times and extended support services are set out in the offer or contract.
8. Customer data, export and deletion
- All data the Customer enters into MDM Lite remains the property of the Customer ("Customer Data"). Data Prudentia uses Customer Data solely to provide the contractual services.
- During the term of the contract, the Customer can export its Customer Data at any time through the web interface and the REST API in common formats (JSON, CSV).
- After the contract ends, Data Prudentia keeps the Customer Data available for export for 30 days and then deletes it, including all versions and the audit trail, unless statutory retention obligations apply. Backups are overwritten within their normal retention periods.
- Customer Data is stored in Microsoft Azure data centers in the North Europe region (Ireland, EU). The data of different customers is strictly logically separated and encrypted at rest and in transit.
9. Data protection and data processing

Where Data Prudentia processes personal data on behalf of the Customer, for example names and email addresses of users or personal data contained in datasets, the parties conclude a data processing agreement pursuant to Art. 28 GDPR, which takes precedence over these terms.

Data Prudentia uses the following sub-processors:

10. Optional AI features
- MDM Lite offers optional AI-assisted features, such as suggestions for column types and business keys during import or for relationships between datasets. For this purpose, extracts of the relevant data, such as column names and sample values, are transmitted to the AI provider.
- AI suggestions are non-binding. They are applied only once a user confirms them. The Customer reviews suggestions under its own responsibility.
- The AI provider processes the data in the USA. The transfer is based on [legal basis to be determined in the legal review: EU-US Data Privacy Framework or standard contractual clauses]. The Customer may request that the AI features be disabled for its tenant.
11. Interfaces and integrations
- MDM Lite provides a versioned REST API and an MCP interface for connecting the Customer's own systems. Data Prudentia keeps published API versions stable for a reasonable period and announces deprecations in good time.
- Integrations with third-party services, such as Microsoft Fabric, Microsoft Purview or AI assistants via MCP, are additionally subject to the terms of the respective provider. The Customer is responsible for configuring and using these services.
12. Rights of use
- For the term of the contract, Data Prudentia grants the Customer the non-exclusive, non-transferable right to use MDM Lite to the agreed extent for its own business purposes.
- All rights in MDM Lite, including software, documentation and trademarks, remain with Data Prudentia.
13. Warranty
- Data Prudentia provides its services with the care of a prudent businessperson and remedies reported defects within a reasonable period.
- Statutory provisions apply to defects unless these terms provide otherwise. Strict liability for defects existing at the time the contract is concluded (Section 536a (1), first alternative, BGB) is excluded.
14. Liability
- Data Prudentia is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent of any guarantee given.
- For slightly negligent breaches of a material contractual obligation (an obligation whose fulfilment is essential for the proper performance of the contract and on whose observance the Customer may regularly rely), liability is limited to the foreseeable damage typical for this type of contract.
- Liability for slight negligence is otherwise excluded.

15. Confidentiality
Both parties treat all confidential information of the other party that becomes known to them under the contract as confidential and use it only to perform the contract. This obligation survives the end of the contract.
16. Changes to these terms
Data Prudentia may amend these terms with effect for the future where there is an objective reason and the Customer is not unreasonably disadvantaged. Changes are announced in text form at least six weeks before they take effect. If the Customer does not object within this period, the changes are deemed accepted. Data Prudentia points out the period and the consequences of not objecting in the announcement.
17. Final provisions
- The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods.
- The exclusive place of jurisdiction for all disputes arising from this contract is Koblenz, Germany, provided the Customer is a merchant, a legal entity under public law or a special fund under public law.
- If any provision of these terms is invalid, the validity of the remaining provisions is not affected.
- The German version is authoritative. This English version is for information only.
